1. Acceptance of Terms & General Risk
Prompto is developed and provided strictly as an assistive speech presentation overlay tool. It is designed to help speakers, presenters, and lecturers coordinate speaker notes, speech cues, and outlines during virtual events and presentations.
The software application is provided to you "as-is" and "as-available" without warranties or representations of any kind, whether express, implied, or statutory. This includes, but is not limited to, any implied warranties of merchantability, suitability for a particular use, non-infringement, or that the software will remain undetected by third-party recording, detection, or anti-cheat software.
2. Compliance with Institutional & Academic Policies
By downloading, installing, purchasing, or using Prompto, you acknowledge and agree that:
- You assume sole and absolute responsibility for verifying that your use of Prompto complies with all local regulations, academic integrity guidelines, university honor codes, school policies, corporate codes of conduct, employer rules, and third-party platform terms of service.
- We do not encourage, condone, or support any attempt to use the software for unauthorized assistance, cheating, academic dishonesty, or any other policy violations.
- We do not care or track how, where, or under what circumstances you deploy the software. All operational risk and responsibility rest entirely with you.
3. Absolute Limitation of Liability
Under no legal theory, whether in contract, tort (including negligence), strict liability, or otherwise, shall the developers, owners, administrators, or distributors of Prompto be liable to you or any third party for any direct, indirect, incidental, special, consequential, or exemplary damages.
This limitation specifically includes, but is not limited to, damages or actions relating to:
- Academic suspension, academic probation, expulsion, or grade penalties.
- Disciplinary hearings, corporate reprimands, or termination of employment.
- Disqualification from professional assessments, certifications, licensing exams, or recruitment and hiring processes.
- Account bans, platform bans, hardware blocks, or any other professional, educational, or legal repercussions resulting from your installation, use, misuse, detection, or performance failure of this software.
4. Indemnification & Covenant Not to Sue
You agree to defend, indemnify, and hold harmless the developers, contributors, and owners of Prompto from and against any and all claims, liabilities, damages, losses, costs, or expenses (including attorney's fees) arising out of your download, installation, use, or misuse of this software.
By using this software, you agree to waive any right to bring legal claims, lawsuits, or actions against the developers and administrators in any venue, jurisdiction, or forum.
5. Licensing, Device Binding & Upgrade Fees
Purchasing a license grants a non-transferable, single-user license to access the current version of the software binary. The application utilizes secure device-binding to verify ownership, allowing you to run Prompto on up to two (2) of your personal devices. Activating the application on additional devices beyond this limit requires an upgrade or support reset.
If the licensing price of Prompto changes or increases in the future, downloading subsequent releases and updates may require paying the difference between your originally paid amount and the new pricing. Free lifetime updates are not guaranteed under this license model.
